Anti Wave Purchasing Terms and General Terms of Delivery

Applies to: All products supplied by Anti Wave Global Pty Ltd and its licensed manufacturing partners.

1. Scope

This Order Policy applies to all orders for Anti Wave Racing Lanes and related products, including but not limited to competition, training, and custom-configured lane systems supplied globally by Anti Wave Global Pty Ltd (“Anti Wave”).

2. Quotations & Validity

  • All quotations are provided in writing and are valid for 30 days unless otherwise stated.
  • Pricing is based on:
    • Current raw material and manufacturing costs
    • Specified Incoterms (e.g. EXW, FOB, CIF, DAP)
    • Quoted freight assumptions and destination ports
  • Prices may be subject to adjustment if:
    • Order specifications change
    • Freight, duties, or taxes materially change prior to shipment
    • Exchange rates fluctuate beyond normal tolerance

3. Order Confirmation

  • An order is considered confirmed only when:
    • A written purchase order or signed quotation is received, and
    • The required deposit payment has been received (unless otherwise agreed in writing)
  • Verbal orders or provisional reservations are not binding.

4. Payment Terms

Unless otherwise agreed in writing:

  • Standard payment terms:
    • 50% deposit required to commence production
    • 50% balance payable prior to shipment
  • Title to goods remains with Anti Wave until full payment is received.
  • All bank charges, intermediary fees, and currency conversion costs are borne by the buyer.

5. Manufacturing Lead Times

  • Racing lanes are manufactured to order.
  • Typical production lead times are:
    • 4-6 weeks from order confirmation, depending on lane type, quantity, and configuration
  • Lead times are estimates and may vary due to:
    • Custom specifications
    • Peak production periods
    • Global supply chain conditions
    • Force majeure events

Anti Wave will advise of any material delays as soon as practicable.

6. Order Changes & Cancellations

  • Changes to confirmed orders must be submitted in writing and are subject to approval.
  • Changes may result in:
    • Revised pricing
    • Extended lead times
  • Cancellations:
    • Once production has commenced, orders cannot be cancelled.
    • Deposits are non-refundable once materials are allocated or manufacturing has begun.

7. Shipping, Freight & Risk

  • Shipping terms are governed by the agreed Incoterms® 2020.
  • Risk transfers to the buyer in accordance with the selected Incoterm.
  • Estimated transit times are provided for guidance only and are not guaranteed.
  • Anti Wave is not responsible for delays caused by:
    • Shipping lines
    • Port congestion
    • Customs clearance
    • Acts of God or force majeure

8. Customs, Duties & Local Compliance

  • The buyer is responsible for:
    • Import clearance
    • Local duties, taxes, and fees
    • Compliance with local regulations unless otherwise agreed
  • Anti Wave will provide standard export documentation (e.g. Commercial Invoice, Packing List, Bill of Lading).

9. Inspection & Acceptance

  • Buyers must inspect goods upon delivery.
  • Any claims for:
    • Shortages
    • Transit damage
    • Manufacturing defects
      must be notified in writing within 7 days of receipt.
  • Claims submitted after this period may not be accepted.

10. Quality Standards & Specifications

  • All Anti Wave racing lanes are manufactured in accordance with:
    • Anti Wave global engineering specifications
    • Applicable World Aquatics (FINA) requirements (where specified)
    • Anti Wave quality management protocols
  • Minor cosmetic variations that do not affect performance or compliance are not considered defects.

11. Warranty

  • Racing lanes and equipment are covered by Anti Wave’s standard product warranty, supplied separately.
  • Warranty does not cover:
    • Normal wear and tear
    • Improper installation or use
    • Damage caused by misuse, modification, or poor water chemistry

12. Governing Law

  • Unless otherwise agreed in writing, all orders are governed by the laws of Queensland, Australia.
  • Any disputes shall be subject to the jurisdiction of the courts of Queensland.

13. Entire Agreement

This Order Policy, together with the confirmed quotation and Anti Wave warranty terms, constitutes the entire agreement relating to the supply of racing lanes and equipment.
